HullGrade — Terms of Service
1. The Services
HullGrade provides software tools to help vessel owners and the marine trade organize maintenance information and buy and sell boats. The Services include: (a) ingesting invoices and other documents and using one or more third-party AI providers to extract maintenance data and to identify and remove personal information; (b) storing the resulting maintenance records, documents, photos, and vessel information in your vessel profile; (c) creating and tracking maintenance tasks, recurring schedules, checklists, and reminders; (d) AI-generated maintenance suggestions and AI-assisted detection of a vessel's likely equipment and systems, including by reading manuals and spec sheets you upload, by searching public internet sources, by retrieving manuals or documents from sources you direct us to, and by importing details from a public listing link you provide; (e) AI-generated estimated vessel values; (f) conversational AI assistants for account holders — which can receive files and draft maintenance records, tasks, checklists, equipment entries, listings, and other content for your review and confirmation — and for prospective buyers viewing public listings; (g) a vessel-listings marketplace; (h) an access-restricted portal (secured by a private link and, where set by the Account Owner, a password) allowing people you authorize ("Submitters") to upload documents to a specific vessel profile without creating an account; and (i) tools to transfer a vessel profile and some or all of its maintenance history to another user. The Services are informational and organizational only and are never a substitute for professional inspection, maintenance, valuation, or safety verification. We may add, modify, suspend, or discontinue any feature at any time.
2. Your Account, Invited Users, and Submitters
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to create an account or use the Services. You must provide accurate registration information and keep your credentials secure. You are responsible for everything done under your account, including by people you grant access ("Invited Users") and by Submitters who use a portal link you generate. You must have the legal right to upload any document or data you submit — including any third-party personal information, contact details of vendors and service providers you add, and manuals or other copyrighted material — and you are responsible for setting, managing, and revoking access permissions. If you direct the Services to import information from a link you provide, you are responsible for your right to use the imported content. Each Invited User and Submitter is independently bound by these Terms — including the assumption of risk above and the AI-processing, maintenance-and-reminder, AI-features, disclaimer, and limitation-of-liability provisions in Sections 3, 4, 5, 12, and 13 — upon accessing the Services or uploading any document. Each Submitter, including a vessel owner uploading their own invoices through a portal link generated by a broker, captain, or other Account Owner, assumes full risk for the documents they upload, including any personal information those documents contain about themselves or third parties, and is solely responsible for confirming they have the legal right to upload that material. HullGrade is not a party to your relationship with any Invited User or Submitter.
3. AI Processing and Data
We use third-party artificial-intelligence providers, currently including Anthropic's Claude API, to power features of the Services. Depending on the feature, this includes extracting maintenance data from invoices and documents and identifying and removing personal information; generating maintenance suggestions; detecting and identifying a vessel's likely equipment and systems; producing estimated vessel values; and answering questions through our conversational assistants. To do this, content you provide — including invoices, manuals, and documents in their original form (with any personal information they contain), vessel information, and the questions, messages, and files you or, on public listings, prospective buyers submit to our assistants — is sent to the AI provider, and may transit or be stored by infrastructure providers (such as hosting, storage, and message-queueing services) acting on our behalf. Some features may instead be served by AI models running on infrastructure we operate rather than by a third-party AI provider. Identification and removal of personal information is best-effort only; we do not guarantee that all such information will be detected or removed. Some AI features retrieve and incorporate information from public internet sources that we do not control and that may be inaccurate, outdated, or incomplete. AI outputs may contain errors, omissions, or hallucinations and must be independently verified before being relied upon. The AI provider may temporarily retain submitted data for security and abuse monitoring under its own policies, which we do not control and which may change. We may add or change AI providers at any time without amending these Terms.
Our Privacy Policy is the full statement of how we collect, use, share, and retain personal information; this Section summarizes the parts that shape your use of the Services. We collect account information (name, email, billing), vessel information (such as name, hull identification number, type, year, make, model, and engine and generator hours), the content of invoices, documents, photos, maintenance records, tasks, schedules, and checklists you create, equipment and systems data, vendor and service-provider contact details you add, estimated-value data, the content of messages and files exchanged with our AI assistants, activity logs recording actions taken in your account (which are visible to other users who share access to the relevant vessel), and usage data. We retain data while your account is active or as required by law. We do not sell personal information and do not share it for cross-context behavioral advertising. If you are in the EEA, UK, Switzerland, California, or another jurisdiction with applicable privacy law, you have rights to access, correct, delete, port your data, and to opt out of certain processing where applicable; to exercise these rights, contact info@hullgrade.com. International transfers rely on Standard Contractual Clauses or equivalent mechanisms. The risks described in this Section apply equally to Account Owners, Invited Users, and Submitters with respect to any document or information they personally provide.
4. Maintenance Records, Schedules, and Reminders
The Services let you record completed maintenance and create maintenance tasks, recurring schedules, checklists, and reminders. These are organizational aids provided on a best-effort, "as is" basis. We do not guarantee that any record, due date, recurrence calculation, schedule, checklist, reminder, or notification will be generated, delivered, retained, accurate, complete, or timely, and you must not rely on the Services to tell you when maintenance is due. You remain solely responsible for determining, scheduling, and performing all maintenance, for following manufacturer specifications and applicable law, and for your vessel's condition, seaworthiness, and safety. A maintenance history stored in the Services reflects only what has been uploaded; it may be incomplete or inaccurate and does not establish the actual condition or safety of any vessel.
5. AI Suggestions, Equipment Detection, Value Estimates, and Assistants
Certain features generate automated, AI-derived content that you must treat as a starting point only, never as professional advice:
(a) Maintenance suggestions. We may suggest maintenance tasks based on vessel specifications, detected equipment, and history. Suggestions may be wrong, incomplete, or unsuitable for your vessel and must be reviewed and verified before you act on them. Once you accept a suggestion it becomes a task in your account, and it is thereafter your content: you and other users with access to the vessel can edit it at any time — including its title, schedule, intervals, due dates, and checklist items — through the Services or an assistant. The Services may display a record of the originally accepted recommendation or flag certain later changes, but we do not guarantee a complete history of edits, and the task as it appears at any time reflects your account's changes rather than what was originally suggested. You are responsible for each task as maintained in your account.
(b) Equipment detection. We may research and propose the systems and equipment likely present on a vessel, including by searching public internet sources. These are best-effort guesses that you must confirm against your actual vessel.
(c) Value estimates. Where the Services display an estimated vessel value, it is an automated estimate generated for general informational purposes only. It is not an appraisal, survey, or professional valuation, it may be materially inaccurate, and it must not be relied upon for any purchase, sale, insurance, financing, tax, or other decision. Obtain an independent valuation from a qualified marine surveyor or appraiser.
(d) Conversational assistants. The Services include AI assistants for account holders and, on public listings, for prospective buyers. Their answers are generated from available data and may be inaccurate, incomplete, or outdated; they are not professional advice and must be independently verified. Do not rely on any assistant for safety-critical, maintenance, or purchase decisions.
(e) Assistant-created content. Assistants can draft maintenance records, tasks, checklists, equipment entries, listings, and similar content for you. Nothing is saved until you confirm it, and once confirmed it is treated as content you submitted: you are responsible for reviewing and correcting it before and after confirming, and an AI-drafted entry may be wrong in ways that matter — including dates, engine hours, service intervals, costs, and equipment details.
6. Data Storage, Access, and Deletion
Your data is stored on our servers in the United States. HullGrade personnel have the technical ability to access your data, but we do not view individual user records, invoices, or attachments except as necessary to provide support you have requested, to investigate suspected security incidents, fraud, or violations of these Terms, to diagnose or debug a problem with the Services (which may include reviewing the AI inputs and outputs associated with the affected account), or as required by law or valid legal process. When you delete a record, attachment, or other content from the Services, the deleted item is permanently removed from our active database and is not recoverable. When you close your account, all content associated with your account is permanently deleted, except for limited records (such as billing records) we are required to retain by law. If you transfer a vessel to another user (Section 8), the content that moves with it depends on the transfer option selected; content excluded from a transfer is permanently deleted when the transfer completes, not retained by us.
7. Vessel Listings and Buyer Inquiries
We host listings as a venue only and are not a broker, dealer, or party to any sale. Sellers are solely responsible for the accuracy, legality, and completeness of every listing, including title, condition, liens, photographs, maintenance information, and authority to sell. The maintenance information shown on a listing is supplied by the seller and is not verified by us. Prospective buyers may use an AI assistant to ask questions about a listing's maintenance history, subject to Section 5; buyers must independently verify all claims and engage qualified marine surveyors before purchase. Listings that are fraudulent, illegal, infringing, or that violate these Terms may be removed without notice. Report concerns to info@hullgrade.com. By creating a listing you grant us a worldwide, royalty-free license to host, display, and use the listing in operating and marketing the Services.
8. Ownership Transfer
The Services let an Account Owner transfer a vessel profile, including some or all of its maintenance records, documents, and photos, to another user who accepts the transfer. Transfer options may include a redacted transfer, in which certain content — such as invoices, uploaded documents, and activity history — is permanently deleted when the transfer completes rather than passed to the recipient. Deleted content cannot be recovered by you, the recipient, or us, and you are solely responsible for downloading or otherwise preserving anything you wish to keep before initiating a transfer. By initiating a transfer you confirm that you have the right to do so and to share the transferred content with the recipient, and you authorize us to make that content accessible to the recipient and to delete any content excluded by the transfer option you select. A completed transfer, including any associated deletion, is generally irreversible through the Services. We are not a party to, and are not responsible for, any underlying sale or agreement between the transferor and the recipient, and we do not verify the accuracy or completeness of transferred content. The recipient receives the content "as is" and is bound by these Terms.
9. Preview Vessel Profiles
We may create preview vessel profiles using information that is publicly available, such as details and photographs from public for-sale listings, and may contact a vessel's owner or seller to offer them access to that profile and to the Services. A preview profile is not part of the public marketplace. If you are the owner of, or otherwise associated with, a vessel for which we have created a preview profile and you do not want it, you may request its removal at info@hullgrade.com and we will delete it. If you claim a preview profile, your continued use of it and of the Services is governed by these Terms.
10. Acceptable Use
You will not: (a) upload data you have no legal right to process; (b) introduce malware; (c) reverse-engineer or scrape the Services, or use them or their outputs to develop a competing product or train competing models; (d) circumvent PII redaction, rate limits, access controls, or other security features; (e) use the Services for safety-critical, maintenance, valuation, or purchase decisions without independent professional verification; (f) submit inputs designed to manipulate, jailbreak, or extract another party's data from our AI features, or use the assistants to generate unlawful, infringing, or abusive content; (g) infringe any third party's rights; or (h) use the Services unlawfully.
11. Fees
Paid features require payment per the applicable plan. Fees are non-refundable except where required by law. We may change pricing on at least 30 days' notice to active subscribers.
12. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for purpose, accuracy, completeness, timeliness, and non-infringement. We do not warrant that maintenance records, schedules, reminders, AI suggestions, equipment detection, estimated values, assistant responses, or listings are accurate, reliable, complete, timely, or reflect the actual condition, maintenance needs, value, or legal status of any vessel.
13. Limitation of Liability
To the fullest extent permitted by law, HullGrade will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, vessel damage, equipment failure, personal injury, death, property damage, or business interruption. Our total cumulative liability for any and all claims is capped at the greater of (a) fees you paid us in the 12 months before the claim or (b) US$100. These limitations are a fundamental basis of the parties' agreement and apply even if a remedy fails of its essential purpose. Nothing in these Terms excludes liability for fraud, gross negligence, willful misconduct, death or personal injury caused by our negligence, or anything that cannot be excluded by law. Any claim must be filed within one (1) year of accrual or be barred, except where applicable law prohibits such limitation.
14. Indemnification
You will defend, indemnify, and hold harmless HullGrade and its affiliates, officers, employees, and agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) content or data you submit or transfer; (c) actions of your Invited Users or Submitters; (d) your violation of these Terms or any law; or (e) your infringement of any third party's rights.
15. Term, Changes, and Termination
Either party may terminate at any time. We may suspend or terminate access immediately for violations of these Terms or as required by law. We may update these Terms by posting the revised version and, where feasible, by email; continued use after the effective date constitutes acceptance. Provisions that by their nature should survive termination will survive.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Disputes will first be raised informally with info@hullgrade.com. Unresolved disputes will be settled by binding arbitration under the rules of the American Arbitration Association in Florida, except either party may seek injunctive or equitable relief in court. To the extent permitted by law, you waive class actions and class-wide arbitration. Mandatory consumer protections in your jurisdiction (including EU member states) continue to apply.
17. Miscellaneous
These Terms, together with our Privacy Policy and any applicable order form, are the entire agreement between you and us. If a provision is unenforceable, the remainder remains in effect. We may assign these Terms in connection with a merger or sale; you may not assign without our consent. Notices to you may be sent by email or posted in the Services, and you consent to electronic communications. We are not liable for delays or failures caused by circumstances beyond our reasonable control, including third-party service outages. No third-party beneficiary rights are created.
